1. Introduction

These Terms and Conditions ("Terms") govern the provision of services by Adam Suchodolský – IT & Data Consulting ("Company", "we", "us", or "our") through the website and through direct agreements with clients. By purchasing, booking, or using our services, you agree to these Terms. If you do not agree with these Terms, you should not use our services.

The company provides professional services including:

  • IT consulting

  • Data consulting and analytics

  • Technical advisory and digital consulting

All services may be delivered remotely unless otherwise agreed.

3. Scope of Services

Services provided by the Company are professional consulting services delivered based on:

  • individual client requests

  • project agreements

  • consulting sessions

  • technical implementation work
     

Specific project terms, deliverables, and timelines may be defined in:

  • written agreements

  • service proposals

  • invoices

  • email communication
     

4. Orders and Service Agreement

A contract for services is concluded when:

  • the client confirms an order or booking, or

  • the client accepts a proposal or quote, or

  • payment for services is completed, or

  • contract is signed
     

By confirming a service request, the client agrees to these Terms and Conditions.

5. Pricing and Payments

Prices for services are communicated before the service begins and may be provided through:

  • quotations

  • project proposals

  • hourly consulting rates

  • invoices

  • signed contracts
     

Payment terms may include:

  • full payment in advance

  • milestone payments

  • payment upon invoice
     

Unless otherwise stated, invoices are payable within 14 days.

Late payments may result in suspension of services.

6. Start of Service and Withdrawal Rights

If the client is a consumer purchasing services online, they may have the right to withdraw from the contract within 14 days.

However, if the client schedules or requests the service to begin before the expiration of the 14-day withdrawal period, including where the agreed service start date falls within this period, the client expressly requests the immediate commencement of the service.
 

In such case, the client acknowledges that:

  • the service may begin immediately, and

  • the right of withdrawal does not apply to services already provided.
     

If the service has already started and the client withdraws, the client must pay for the portion of services already delivered.

7. Client Responsibilities

The client agrees to:

  • provide accurate and complete information necessary for service delivery

  • cooperate during the project

  • provide required access to systems, tools, or data when needed

  • review deliverables within a reasonable timeframe

Delays caused by missing information or lack of cooperation may extend project timelines.

8. Intellectual Property

Unless otherwise agreed in writing:

  • all intellectual property created during consulting projects remains the property of the Company until full payment is received.
     

After full payment:

  • the client receives the right to use the delivered work for its intended purpose.
     

The Company retains the right to reuse general knowledge, methods, and experience gained during projects.
 

9. Confidentiality

Both parties agree to treat confidential information as strictly confidential.

Confidential information includes:

  • business data

  • technical documentation

  • project details

  • internal processes

  • proprietary information
     

Confidential information may not be disclosed to third parties without consent unless required by law.
 

10. Limitation of Liability

The Company provides services with professional care and expertise.

However, the Company shall not be liable for:

  • indirect or consequential damages

  • business interruptions

  • loss of profits or revenue

  • damages caused by third-party systems or software

  • incorrect data provided by the client

Total liability, if applicable, shall not exceed the amount paid by the client for the specific service.
 

11. Complaints

Clients may submit complaints regarding services via email.

Complaints should include:

  • contact information

  • description of the issue

  • invoice or order reference
     

Complaints will be handled within 30 days in accordance with applicable consumer protection laws.

12. Alternative Dispute Resolution

Consumers may seek alternative dispute resolution (ADR) if they are not satisfied with the complaint resolution.

13. Changes to Terms

We reserve the right to update or modify these Terms at any time.

These Terms and Conditions are governed by the laws of the Slovak Republic and applicable European Union regulations.
